Prepare to Invest: 506(c) Offerings


Below is an executive summary of how to prepare to subscribe with SPI:

  1. Know the legal name you'll use to invest (i.e., your Title). Consult with your CPA, attorney, or Financial Advisor to ensure that the Title you choose takes your specific tax, estate planning, & financial planning needs into account.
  2. Gather required, fully executed legal documents. If subscribing with a legal entity (e.g., LLCs, trusts, retirement plans, etc.), collect fully executed legal documents that identify both signing authority and equity ownership.
  3. Obtain a Third-Party letter verifying accreditation. Because 506(c) offerings require that all investors be accredited, obtain a Third-Party Verification Letter in appropriate legal names from a qualified individual as defined on the template provided (instructions by Title type & template below). Using our template shortcuts the process.
  4. Know how you'll file taxes for the way you're investing. Another way to say this is to be prepared to answer this question... "What tax return of yours will include our K-1 data?" Consult your tax advisor for help.
  5. Collect ACH instructions for the U.S. bank account where we'll send your distributions. ACHs are different than wires – confirm instructions with your bank to ensure accuracy.
  6. Ensure funds are cleared & in the account from which you'll wire to us for the investment.
  7. For existing investors planning to invest with the same Title, review your SPI Investor Portal and update data and/or provide us with legal documents, if amendments have been made.

Two-Factor Authentication Instructions

Select a Two-Factor Authentication Method

You'll be prompted to select either an Authenticator App or a Mobile phone as your preferred two-factor authentication method.

To begin, select one of the two options below & follow the instructions of your chosen method.

*NOTE: The only Authenticator Apps currently supported are Microsoft Authenticator & Google Authenticator. To use one of these Authenticators, you must download the associated app to your mobile phone from any major app store (e.g., Apple App Store, Google Play Store) & log in to your associated account so that you can save this to the cloud.

Each time you log in, either on a new device, browser, or IP address, you’ll be prompted to verify the login with your chosen authentication method. Checking “Remember me for 60 days” will prevent you from having to verify again for 60 days.


Step 1:

After opening either Microsoft or Google Authenticator, select the plus icon (+) in the app & select "Scan a QR code." Use your phone's camera to scan the QR code displayed on your screen.

Step 2:

Once the app has registered the source, a code will be generated for "Dynamo Software, Inc." Type this code into the box called "Enter the code in your authenticator app," & click the "Verify code" button.

*NOTE: The "Authenticator app name" is generated by the portal, but it can be changed to help you identify which Authenticator App you used. For example, you can edit the name to "Microsoft Authenticator," if that is helpful for future logins.


Option 2: Enroll on a Mobile Phone


Step 1:

Type in your preferred Mobile phone number & click the "Send code" button. A text message will be sent to the phone number you entered.

Step 2:

A new window will open. Type in the 8-digit code you receive & click the "Verify code & login" button.

*NOTE: If you do not receive a text message to your mobile phone, click the "Send me a new code" link at the bottom of the window.

Login Instructions

Step 1: Open the Portal Activation Email

You should've received an email with the subject line: "SPI Advisory: New Investor Software - Account Activation." To begin creating your Investor Portal login, find this email & click the "Log In" button.* (If you don't see this email in your inbox, make sure to check your Junk/Spam).

*NOTE: The new Portal system will automatically use the email address we sent the activation email to as your login email. Please make a note of this along with the password you'll create in the following step for future logins. Forwarded activation emails to another email address do NOT work. For the "Log In" button to function properly, you need to be in the original email sent to the email for which the login is being created.

Step 2: Create Your Password

Follow the steps to create your new Investor Portal password.* Click "Set Password."

*NOTE: Your Portal password must be at least 8 characters & meet at least 3 out of 5 of the listed "complexity requirements." You do NOT have to meet the "non-latin letters and symbols" complexity option. Focus on the other 4 options to meet the 3 out of 5 requirements.

Step 3: Log Into the Portal

Once you've created & "set" your new Portal password, you'll be directed to a page to log into the Portal. Enter the email address we sent the activation email to. Click "Next," enter your new password, that you just created & click "Log In."

Step 4: Set Up Two-Factor Authentication

Once you log in, you'll be prompted to set up Two-Factor Authentication. Click here if you need help. Once you've set up Two-Factor Authentication, proceed to Step 5.

 

Step 5: Accept the "Terms & Conditions"

Upon your first login to the Portal, you will need to accept the "Terms & Conditions."*

*NOTE: You will only need to accept the "Terms & Conditions" on your first login. In order to scroll to the bottom of the "Terms & Conditions," hover on THE RIGHT SIDE of the pop-up window to make the inner scroll bar appear. (See example to the left):

Once you log in,

You'll have access to a Help Video (we'll add more over time) & a Help Document on the "Help" page (accessible via the Main Menu).

After your first Login,

You can log into the Portal directly by clicking the button below, OR, by clicking the "Investor Portal" button at the top-right of the navigation bar.
